These Terms & Conditions ("Terms") are a legally binding agreement between you and Jaikalki Technology Private Limited (CIN U62091MH2025PTC438336), a company incorporated under the Companies Act, 2013 and having its registered office at Sh N B2, First Floor, Mahavir Nagar, Deepak Hospital Road Lane, Mira Road (E), Seven Square School, Thane – 401107, India (the "Company", "Jaikalki", "we", "us", "our"). They govern your access to and use of the Nakshatralogy platform — the mobile apps, the websites at nakshatralogy.com, app.nakshatralogy.com, astro.nakshatralogy.com and developer.nakshatralogy.com, and all related services (together, the "Platform" or "Service").

This document is published in accordance with the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the Consumer Protection (E-Commerce) Rules, 2020. This is a two-audience agreement: Part A applies to everyone, Part B applies to Users (seekers), Part C applies to Astrologers, and Part D applies to Developer API subscribers.

Part A

Common terms for everyone

These apply to every person who accesses the Platform, in any role.

A0. Regulatory framework

This Platform, and these Terms, are drafted and operated with reference to the following Indian laws, as applicable and as amended from time to time. Nothing in this clause creates rights beyond those the underlying statute already provides.

A1. Acceptance & eligibility

By downloading, accessing, registering on, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Refund Policy, which are incorporated by reference. If you do not agree, you must not use the Platform.

A2. Accounts & security

A2A. Virtual wallet (platform credit)

The Nakshatralogy Wallet is a prepaid virtual balance ("platform credit") that you load in advance and spend only inside the Nakshatralogy platform. In plain terms, it is store credit for our own products and services — nothing more.

A3. Nature of the Service

Nakshatralogy is a technology platform that (a) computes Vedic astrology charts and generates AI-assisted reports, and (b) acts as an intermediary connecting Users with independent Astrologers for consultation. The Company is not the author of an Astrologer's advice and does not itself provide astrological, medical, legal, or financial advice.

They are interpretations, not guaranteed outcomes, and are not a substitute for professional medical, psychological, legal, or financial advice. Always consult a qualified licensed professional for such matters.

All software, source code, design, "Nakshatralogy" and "Jaikalki" brands, logos, the mandala mark, report templates, and proprietary computation and AI systems are owned by or licensed to the Company and are protected by law. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Platform for its intended personal or business purpose under these Terms. You retain ownership of content you submit (e.g., birth details, profile, messages) and grant us a worldwide, royalty-free licence to host, process, and display it solely to operate and improve the Service.

A6. Disclaimers

A7. Limitation of liability

To the maximum extent permitted by law, the Company, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, punitive, or consequential damages, or for loss of profits, data, goodwill, or opportunity. Our aggregate liability for any claim arising out of or relating to the Service shall not exceed the amount you actually paid to us in the three (3) months preceding the event giving rise to the claim. Nothing limits liability that cannot be excluded under applicable law.

A8. Indemnity

You agree to indemnify and hold harmless the Company and its affiliates from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law or third-party right, your content, or your use of the Service.

A9. Suspension & termination

We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure, or engage in fraud or abuse. You may stop using the Service and delete your account at any time from in-app Settings → Delete Account (subject to Part C for astrologers with pending settlements). Provisions that by their nature survive termination (IP, disclaimers, liability, indemnity, governing law) will survive. Data handling on termination follows our Privacy Policy.

In compliance with the IT Rules, 2021 and the Consumer Protection Act, 2019, the Company has appointed a Grievance Officer and Nodal Contact Person(s), and operates within the escalation framework below.

Consumer forum / ODRYou may also approach the National Consumer Helpline (1800-11-4000 / 1915), the e-Daakhil portal (edaakhil.nic.in), or the consumer commission having jurisdiction.

These Terms are governed by the laws of India, and the courts at Mumbai, Maharashtra have exclusive jurisdiction, subject to your statutory consumer-forum rights.

★ Changes. We may amend these Terms from time to time. Material changes will be notified in-app or by email, and the "Last updated" date above will change. Continued use after changes take effect constitutes acceptance.
Part B · For Users

Terms for Users & Seekers

These additional terms apply when you use Nakshatralogy to generate charts, read reports, and consult astrologers.

⚠ Your safety — never pay an astrologer directly. Nakshatralogy will never ask you to pay an astrologer directly. Pay only through the app's official wallet/checkout. Never send money, UPI, cash, gift cards, or bank transfers to an astrologer's personal account — even for a "special pooja", "urgent remedy", or to "remove a dosha". If anyone asks, do not pay and report them via Customer Support. Payments made outside the Platform are not covered by our Refund Policy and cannot be refunded or mediated by us.

In addition to Part A, you agree not to record or redistribute consultations without consent, not to share another person's data without authority, and not to use insights to harass, defraud, or harm others.

Part C · For Astrologers

Terms for Astrologers

These additional terms apply if you register to offer consultations on Nakshatralogy.

C3. Earnings, platform fee & taxation of payouts

Astrologers are independent consultants appointed by the Company to provide consultations to Users. In consideration of these services, the Company pays each Astrologer a consulting fee ("Payout"), calculated on the per-minute rate the Astrologer sets, less the Company's disclosed platform/facilitation fee. This clause explains, at a general level, how Indian tax law applies to that Payout. It is provided for transparency and does not replace independent tax advice.

C3.1 Nature of income. Because an Astrologer is an independent consultant and not an employee, the Payout is not "salary." It is business/professional income in your own hands, taxable under "Profits and Gains of Business or Profession" under the Income-tax Act, 1961 (consolidated into the Income-tax Act, 2025 with effect from 1 April 2026). You are individually responsible for computing and paying your own income tax and filing your own return; the Company's role is limited to deducting tax at source where required and reporting that deduction.

C3.2 Tax Deducted at Source (TDS).

C3.3 GST & TCS. If your aggregate turnover of taxable services exceeds ₹20 lakh in a financial year (₹10 lakh in specified special-category states), you must register under the CGST Act, 2017 and charge 18% GST on the fee you invoice the Company. Astrology consultation is not, at present, notified under Section 9(5) of the CGST Act, so GST liability (where applicable) rests with the registered Astrologer. As an e-commerce operator the Company collects TCS at 0.5% (Section 52) on the net taxable value of services supplied by each registered Astrologer, deposits it monthly, files Form GSTR-8, and issues a TCS certificate you can credit in your electronic cash ledger. The platform fee the Company retains is itself a taxable supply attracting 18% GST.

C3.4 Your own compliance. File an Income Tax Return declaring Payouts as business/professional income after claiming TDS credit; pay advance tax if net tax payable exceeds ₹10,000; maintain records under Section 44AA (or evaluate presumptive taxation under Section 44ADA with your CA); if GST-registered, issue tax invoices and file GSTR-1/3B; and assess any state Professional Tax obligation.

This table is illustrative only and simplifies the interaction of TDS, GST, and TCS. Actual figures depend on your GST-registration status, PAN validity, residency, and threshold position for the year.

C3.6 Payout statements. Through the astrologer console you receive a running earnings ledger, a monthly settlement statement, quarterly Form 16A, and (where applicable) a monthly GST TCS certificate. Reconcile these against your own Form 26AS/AIS and GST returns.
